SHOP PARTNER PROGRAM - TERMS OF SERVICE
These Terms of Service ("TOS") concern our MaxLifestyle.net Shop Partner Program (the "Program"). They describe the terms and conditions applicable to your use of our services available on the MaxLifestyle.net Shop Partner Program and those under the domain and sub-domains of www.maxlifestyle.net and its network of related websites as mentioned at the bottom of this page (the "Site").
You must read, agree with and accept all of the terms and conditions contained in these TOS, which include those terms and conditions expressly set out below before you may become a Shop Partner ("Partner") of the Program. By accepting these TOS, you also agree that your use of other MaxLifestyle.net websites will be governed by these TOS as posted on those websites.
We may amend these TOS at any time by posting the amended terms on the Site. Except as stated below, all amended terms shall automatically be effective 30 days after they are initially posted on the Site.

Network and Company Introduction
MaxLifestyle.net is a network of Lifestyle-related websites created, maintained and run by MaxLifestyle International Ltd. On these websites, we handle a multitude of specialty subjects ranging from extreme sports like snowboarding, rock climbing and mountain biking, to personal development subjects like yoga and meditation. Each of these lifestyle subjects is handled from multiple perspectives divided into 5 main sections per subject website:
- INFO: Information articles that cover the subject from every possible angle.
- SHOP: Shop portal where we combine the inventories of the leading online suppliers of products related to the chosen subject.
- TRAVEL: Our worldwide products directory where we list all holiday services and products related to the chosen subject.
- NEWS: News items (updated daily), reports and events concerning the chosen subject
- COMMUNITY: Our community section where members can exchange knowledge, experiences, pictures and much more about the subject.

Description of Service
The "Program" provides companies, organizations, groups and individuals who offer any kind of product the opportunity to become our "Partner" thereby giving them the tools to insert, publish and manage products in our shop. As such, the Program can be seen as a specialized type of advertising whereby the Partner uses our websites to market their individual products. By becoming a Partner to this "Program" and using our Service, the Partner agrees to comply with the terms and conditions set out in these TOS. In more detail the Service entails the following:
- Any Product Provider can create a Shop Partner Account (the "Account"). Upon registration, you will have access to the Shop Partner System ("SPS") and you will become a Partner. Registering for an SPP account and becoming a Partner are free of charge. Having your products showcased in our shops is not free of charge.
- The SPS is a web interface to our shop system ("System"). The SPS enables Partners to insert their own products into our database. Inserting products is done through a user-friendly interface where the Partner is asked for the product's details such as product name, type, description and picture.
- After inserting one or more products, the Partner can choose a Payment Program and make the first payment. Upon successful payment the Partner's selected products will become available in the relevant shops in our network. We have different Payment Plans from which Partners can choose. They can either pay a fixed fee per month per product or pay per generated view and/or click. Publishing products and having them showcased in our shop are not free of charge.
- Published products are automatically showcased in the relevant shops of our network. Visitors can find these products through the basic navigation of the website including the shop pages, search results and the full product catalogue. Interested visitors can access the product's detail page which is a full webpage dedicated to the product. It gives all details of the product entered by the Partner including a large picture. Visitors can use the Order Here link to be redirected to a location where they can order the product or make further inquiries.
- Partners can choose to either give a direct weblink as the destination of the Order Here link or to display a so-called Order Info Page. If a direct weblink is chosen then visitors will directly be taken to the Partner's website to a page that the Partner can freely designate. If an Order Info Page is chosen then the client will be given a page that contains all information that the Partner wishes to give. This information page can contain addresses, telephone numbers, email addresses, website links and any other information the Partner might want to give to the client. The Partner can choose per product whether to use the direct linking method or to use an Order Info Page.
- The SPS gives the Partner access to Products Management functions such as editing and updating products, deleting products, adding and editing pictures to/of Products, setting Order Info Pages and all other functions needed to control the content of Products, Order Info Pages and their statuses in our System.
- The SPS gives the Partner access to Account Management functions such as editing account information, changing settings, reviewing orders and payments and all other functions needed to control the Account and the settings of the SPS for the Partner.
1. Registering as a Partner to the Program
You can sign up for the Program using the Registration Form on the SPS. By registering as a Shop Partner you agree to the following:
- 1.1. You will provide true, accurate, current and complete information about yourself, your company or your organization ("Registration Data") as prompted by the Service's Registration Form in the SPS.
- 1.2. You will maintain and update your Registration Data to keep it true, accurate, current and complete.
- 1.3. During the registration for the Service, you will be able to choose a username and password for gaining entry to the SPS. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. Any breach of your account's security should be reported to MaxLifestyle.net immediately. In no event will MaxLifestyle.net be liable for the unauthorized use or misuse of your username of password.
- 1.4. You agree to receive communications from MaxLifestyle.net pertaining to your participation in SPS. Examples of such communications are service notifications, updates, special offers and other messages that we think are important to our Partners.
2. Product Placement & Management
After registration you will be granted access to the SPS and you will be able to enter and manage Products. In using our Service, you agree to the following:
- 2.1. You will provide true, accurate, current and complete information about the products your provide ("Product Data") as prompted by the Product Insertion forms in the SPS.
- 2.2. You will maintain and update your Product Data to keep it true, accurate, current and complete.
- 2.3. You are entirely responsible for all Product Data that you submit or upload or otherwise make available through the Service. MaxLifestyle.net does not control the Product Data submitted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such content. Under no circumstances will MaxLifestyle.net be liable in any way for any Product Data, including, but not limited to, any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any Product Data posted, uploaded or otherwise made available through the Service.
- 2.4. You will not submit, upload or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable. It is your responsibility to ensure that any content you submit, upload or otherwise make available does not infringe any patent, trademark, trade secret, copyright or other proprietary rights of any party.
- 2.5. You will not use our system to upload any media file other than image files with the .gif or .jpg extension that are no larger than 300KB in size to our webserver.
- 2.6. In your Product Data, you will not link to any external or third party site outside of the MaxLifestyle.net websites. You are not allowed to link to your own site in the Product Data. All referral information such as web links, telephone numbers, fax numbers, email addresses, mail addresses and other contact information must reside in the Order Info Page or in the direct weblink and must be kept out of the Product Data.
- 2.7. You acknowledge that MaxLifestyle.net reserves the right to refuse, block, edit or delete any Product Data, or parts thereof, that is submitted and made available through our Service if we think it is in violation of the TOS or objectionable in any way.
3. Products & Client Interaction
The Service enables you to enter Products in our System that will be displayed on our websites. As such the Service is a tool and it is your responsibility to use this tool to present your services in the best way possible. In using our Service, you agree to the following:
- 3.1. You are responsible for the content, look and feel of the Product and the appeal it has to Clients. We will make your Product available on our sites through listings and search results but we take no responsibility for the content of the Product and any consequences that the posted content might have. Furthermore we do not guarantee any views, clicks, inquiries, reservations, purchases or orders resulting from the use of our Service.
- 3.2. If a Client has read your Product and is interested then he can use the Order Here links to either go to your designated direct weblink or to your Order Info Page. You are responsible for the proper functioning of the direct weblink and the correct information given to the Client through the Order Info Page. We are not responsible for the Client's ability or inability to contact you or to place orders.
- 3.3. Clients might decide to contact you. MaxLifestyle.net is not responsible for any Client interaction that may result from using our Service. We are not liable for any loss or damage resulting from this interaction and anything that might occur as a consequence of initiating the interaction with the Client through our Service.
- 3.4. You understand and agree that we draw the line on presenting your Product(s) on our website. Handling Client's inquiries, orders or purchases is your own responsibility and is outside the scope of the Service. In no way can it be expected from MaxLifestyle.net to answer any Client's inquiries regarding your Product(s) and to redirect such inquiries to you.
4. Orders & Payments
The Service is not free. Partners can register an account and make free use of the SPS to insert and manage products but the moment they want those products to be showcased in our shops then they have to choose a payment plan and make the first payment. Only after successful and complete receipt of the first payment will the Partners chosen products go online and be shown in our shops. As explained in full detail in SPS, there are two payment plans: A) Fixed costs per month per product and B) Costs per View/Click. In using the Service, you agree to the following:
- 4.1. All Credit Card purchases and fee payments are subject to the terms and conditions set out by the credit card company. At this moment, we only use Paypal as our third party credit card payment handler. Visit their website at PayPal.com for all information about their services including their own Terms of Service. If in the future we add other credit card payment handlers to the Service then we will list them here and on our websites.
- 4.2. If you choose the Fixed costs per month per product plan then you will have to setup a recurring payment (subscription) to us. In case of termination, no refund will be given for the month that the termination request was given in but products will remain showcased in our shops until the end of the month that was paid for. Subscription payments are made automatically by PayPal so you will not have to make them each month yourself. Should a payment failed due to insufficient funds or any other reason then you have 5 days to make a successful payment or your products will be removed from our shops. However, they will still remain in our database in SPS for future publication.
- 4.3. If you choose the Costs per Click/View option then you will have a credit balance with us. The costs per view and click as calculated by SPS will automatically be deducted from your balance. The products you selected for publication will go online in our shops as soon as the payment is received. If your balance hits 0 then your products will automatically be removed from our shops. However, they will still remain in our database in SPS for future publication. Purchased credit balance is non-refundable, which means that we will not pay back any open balance after you have chosen to terminate the use of our Service.
- 4.4. In special conditions, MaxLifestyle.net might offer the Service for free or for reduced fees. MaxLifestyle.net is free in determining the conditions for reduced fees or free Service and will determine these per Partner or potential Partner.
- 4.5 If, for any reason, due payment has not been received, MaxLifestyle.net has the right to cancel the Service without prior notification.
- 4.6. MaxLifestyle.net reserves the right to change monthly fees, one-time fees and all its prices in anyway it sees fit. Partners who pay a monthly fee will get a notification through email and on the SPS of upcoming fee changes. For those Partners, the new fees will not become effective until one month after the notification was given. This gives these Partners at least one month to terminate their account or to alter their monthly payment. Partners who choose option B and build up a credit balance will not see any changes in view/click fees until they purchase new balance.
5. Account & Service Termination
Account termination and/or Service termination can be initiated by both the Partner and MaxLifestyle.net. In using our Service, you agree to the following:
- 5.1. MaxLifestyle.net may immediately terminate your MaxLifestyle.net Account and your access to the Service without prior notice in case of violations of the TOS, failure to pay fees for use of the Service or any objectionable use of the System. MaxLifestyle.net shall not be liable to you or any third party for any consequences of your Account and/or Service termination.
- 5.2. You may terminate your Account and use of the Service at any moment in time by notifying us through email. As explained, all monthly and one-time payments are non-refundable.
6. Resale of Service & Referring New Partners
One account belongs to one Partner and you are not allowed to resell your account or access to the System. In using our Service, you agree to the following:
- 6.1. You will not sell or give away your access to the System or use of the Service to third parties in any way. If third parties are interested in using our Service, they have to create their own account and become a Partner by their own right. No account may be shared by multiple parties unless written permission is given by an authorized MaxLifestyle.net representative.
- 6.2 At this moment, there is no fixed bonus program in place for Partners who recruit new Partners for our Service. You will be notified if such a program becomes available.
7. Linking
In using our Service, you agree to the following:
- 7.1 In your Product Data, you will not link to any external or third party site outside of the MaxLifestyle.net websites. All referral information such as web links, telephone numbers, fax numbers, email addresses, mail addresses and other contact information must reside in the Order Info Page or in the direct weblink and must be kept out of the Product Data.
- 7.2. You are allowed to link directly to your Product in one of our websites. As such, if you do not have a website where you can present your products, you could use your products on our websites as your homepage and use it in promotional materials or to refer customers to.
8. Service Access & Availability
- 8.1. The SPS and our System are web-based and you will need an internet connection to access the Service. Connecting to the Internet and all costs involved in accessing our System are the responsibility of the Partner.
- 8.2. We do everything to keep our websites, the SPS and our System up and running and our uptime is close to 100%. We, however, make no guarantees whatsoever concerning the availability of the SPS, our System, our websites or the Service and we assume no responsibility for any loss caused by the unavailability of our Service.
9. Copyright & Intellectual Property
In using our Service, you agree to the following:
- 9.1. MaxLifestyle.net will not claim ownership of any Product Data, Order Info Data or other content (the "Content") you submit, upload or otherwise make available through our Service. By inserting this Content in our System, you do give us worldwide, royalty-free, unrestricted and non-exclusive permission to reproduce, distribute, modify, adopt and publicly display such Content in any way we see fit.
- 9.2. The MaxLifestyle.net websites, the SPS, the System and all other materials and software belonging to MaxLifestyle.net are protected by applicable intellectual property and other laws. Without prior written permission by authorized MaxLifestyle.net representatives you are not allowed to copy, distribute, modify, sell or create derivative works based on the Service or other MaxLifestyle.net materials, websites or software.
10. Terms of Service and/or Service Modifications
The Program is an evolving program with an evolving System. We may need to change these TOS, the SPS, our System and our rules or policies from time to time. We reserve the right to change the TOS, the SPS, our System and any rules or policies without prior notification. Furthermore, by continuing your use of our Service, you accept the new TOS, SPS, System or policies as modified. MaxLifestyle.net reserves the right at any time, and from time to time, to modify or even discontinue the Service (or any part thereof) temporarily or permanently with or without notice. MaxLifestyle.net will not be liable to you or any third party for any modifications, temporary suspension or discontinuance of the Service.
11. Indemnity
You agree to indemnify and hold MaxLifestyle.net, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another.
12. Force Majeure
Neither party shall be deemed in default hereunder, nor shall it hold the other party responsible for, any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott, provided that the party relying upon this section shall have given the other party written notice thereof promptly and, in any event, within ten days of discovery thereof and shall take all steps reasonably necessary under the circumstances to mitigate the effects of the force majeure event upon which such notice is based; provided further, that in the event a force majeure event described in this Section extends for a period in excess of thirty days in the aggregate, MaxLifestyle.net may immediately terminate this Agreement and shall have no liability thereof.
13. DISCLAIMER OF WARRANTIES
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
- 13.1. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MaxLifestyle.net EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
- 13.2. MAXLIFESTYLE.NET MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
- 13.4. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM MAXLIFESTYLE.NET OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.
14. LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT MAXLIFESTYLE.NET SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.
